SKF Reorganizes to Three Divisions from Five

SKF AB (Sweden) has announced several major changes to its organization, primarily a strategic reorganization which will reduce its operating divisions from five to three, in the process undoing some of the organizational changes made in recent years.

As of January 1, the Aero and Steel Division and the Electrical Division will both be eliminated. Their operations will be divided between the Industrial Division and Automotive Division. SKF will maintain its Service Division, but it will not absorb any new operations.

Aero and Steel was created in early 2002 from several different SKF operations: Aeroengine Bearings, Airframe Components, CR Aerospace, Forgings and Rings, and Ovako Steel. At the same time in 2002, the Chicago Rawhide seal operations were reorganized and broken up among Automotive, Industrial, Electrical, and the new Aero and Steel.

Aero and Steel's Ovako Steel business has already been spun off. Aeroengine Bearings, Airframe Components and CR Aerospace will transition to the Industrial Division. The Forgings and Rings operation will transfer to the Automotive Division.

Electrical Division primarily involves the manufacture and sale of small automotive-size ball bearings and seals, all of which will be transferred to the Automotive Division. Electrical's medium size ball bearings, which are primarily sold into industrial markets, will transfer to the Industrial Division.

Kaj Thoren, currently President of the Aero and Steel Division, will help oversee the transition until his retirement in mid-2006.

Giuseppe Donato, currently President of the Electrical Division, will become a Senior Vice President handling mergers and acquisitions.

In 2006, SKF will be back to three divisions, relatively evenly weighted in sales.

Automotive Division -- headed by Tryggve Sthen -- is primarily involved in manufacturing and sale of bearings and components to the automotive, light truck, heavy truck, bus, vehicle component suppliers, aftermarket service, motorcycles and motorbikes. Its markets, however, also include light industrial tools, household appliances, electric motors and similar products. Automotive Division primarily manufactures tapered roller bearings, wheel hub bearing units, small ball bearings, related seal sizes, forgings, specialty automotive components, and complete repair kits for the aftermarket. After the realignment, Automotive Division sales will represent approximately 36% of SKF's sales worldwide.

Industrial Division -- headed by Henrik Lange -- is primarily involved in manufacturing and sale of products to industrial OEM customers, involving development and manufacture of a wide array of bearings, primarily spherical and cylindrical roller bearings, angular contact bearings, medium size ball bearings, linear motion bearings, aircraft and airframe bearings, and rail bearings. The division's products also include value-added lines, such as couplings, lubrication systems and mechatronics products. After the realignment, Industrial Division will represent approximately 31% of SKF's sales worldwide.

Service Division -- headed by Phil Knights -- is involved in industrial aftermarket sales, through a network of some 7,000 direct distributors worldwide. Service also handles value-added services such as knowledge-based solutions and logistics services. After the realignment, Service Division sales will represent approximately 33% of SKF's sales worldwide.
